These Terms of Service ("Terms") govern your access to and use of the GrocerE mobile application (the "App"), operated by GrocerE ("we," "us," or "our"). By creating an account or using the App, you agree to be bound by these Terms. If you do not agree, do not use the App.
1. Acceptance of Terms
By accessing or using the App, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you are entering into these Terms on behalf of another person or entity, you represent that you have authority to do so.
2. Eligibility
You must be at least 13 years old to use the App. If you are under 18, you represent that you have the consent of a parent or legal guardian. The App is not directed to children under 13, and we do not knowingly collect information from them. If we learn that we have collected personal information from a child under 13, we will delete it promptly.
3. Account Registration
To use most features of the App, you must create an account using your mobile phone number. We will send a one-time verification code via SMS to confirm your number. You agree to:
- Provide accurate and current information;
- Keep access to your phone number secure, as possession of your device and number is what grants access to the account;
- Notify us promptly if you suspect unauthorized access to your account;
- Be responsible for all activity that occurs under your account.
We reserve the right to suspend or terminate accounts that violate these Terms or that appear fraudulent.
4. License to Use the App
Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to download, install, and use the App on a device you own or control, solely for your personal, non-commercial use.
This license does not give you any ownership rights. We and our licensors retain all right, title, and interest in the App, including all intellectual property rights.
5. User Content
The App allows you to submit content such as recipes, meal plans, shopping lists, pantry items, product photos, and dietary preferences ("User Content"). You retain ownership of your User Content.
By submitting User Content, you grant us a worldwide, royalty-free, non-exclusive license to host, store, reproduce, modify (for technical purposes such as formatting or resizing), and display your User Content solely to operate and improve the App and to provide the service back to you. We do not use your User Content for advertising, and we do not share it with third parties for marketing.
You represent that you have the rights necessary to grant this license and that your User Content does not violate any law or third-party right.
6. Acceptable Use
You agree not to:
- Use the App for any unlawful purpose or in violation of any applicable law or regulation;
- Reverse engineer, decompile, disassemble, or attempt to derive source code from the App;
- Scrape, harvest, or extract data from the App by automated means;
- Interfere with or disrupt the App, its servers, or networks, or circumvent any security measures;
- Use the App to transmit malware, spam, or any harmful code;
- Impersonate another person or misrepresent your affiliation with a person or entity;
- Resell, sublicense, or commercially exploit any part of the App without our written permission;
- Upload User Content that is unlawful, infringing, defamatory, obscene, or otherwise objectionable.
We may investigate and take appropriate action against violations, including removing content, suspending accounts, and reporting conduct to law enforcement.
7. Subscriptions and Payments
Some features of the App may require a paid subscription. Subscriptions are billed and managed through the Apple App Store or Google Play Store, with subscription state coordinated through RevenueCat. By purchasing a subscription, you also agree to the terms of the applicable platform store.
- Auto-renewal: Subscriptions automatically renew at the end of each billing period at the then-current rate unless canceled at least 24 hours before the end of the period, as required by the platform store.
- Cancellation: You can cancel a subscription at any time through your platform store's subscription management settings. Cancellation takes effect at the end of the current billing period.
- Refunds: Refund requests are handled by the platform store according to its refund policy. We generally cannot issue refunds directly.
- Price changes: We may change subscription prices. Material price changes will be communicated with reasonable advance notice, and you may cancel before the change takes effect.
- Free trials: If offered, free trials convert to paid subscriptions automatically unless canceled before the trial ends.
8. Promotions, Pricing, and Store Data Disclaimer
The App displays grocery promotions, prices, and product availability sourced from third parties (such as grocery retailers). This information is provided for informational purposes only and may be inaccurate, outdated, or incomplete. We do not guarantee the accuracy or availability of any promotion or price, and we are not responsible for the actions or policies of any retailer. Always verify prices and availability at the store before purchase.
Recipes, nutritional estimates, allergen flags, and dietary categorizations in the App are provided for general informational purposes and are not medical advice. If you have food allergies, dietary restrictions, or health conditions, verify ingredients and consult a qualified professional.
9. Third-Party Services
The App integrates with third-party services, including:
- Supabase — backend hosting, database, and authentication;
- RevenueCat — subscription state management;
- Apple App Store / Google Play Store — payment processing;
- SMS provider (via Supabase Auth) — delivery of one-time verification codes;
- Google ML Kit — on-device image text recognition.
Your use of these services through the App is also governed by their respective terms and privacy practices. We are not responsible for the availability, accuracy, or practices of third-party services.
10. Disclaimer of Warranties
The app is provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied. To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the app will be uninterrupted, error-free, or secure; that defects will be corrected; or that the app or the servers that deliver it are free of viruses or other harmful components. We make no warranty regarding the accuracy or reliability of recipe, nutrition, promotion, or pricing information.
Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.
11. Limitation of Liability
To the fullest extent permitted by law, in no event will we, our affiliates, or our licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or goodwill, arising from or related to your use of the app, even if advised of the possibility of such damages.
Our total liability arising from or related to these terms or the app will not exceed the greater of (a) the amounts you paid us in the twelve (12) months preceding the event giving rise to the claim, or (b) fifty U.S. dollars ($50).
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
12. Indemnification
You agree to defend, indemnify, and hold harmless GrocerE, its affiliates, and their officers, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the App; (b) your violation of these Terms; (c) your User Content; or (d) your violation of any law or third-party right.
13. Termination
You may stop using the App and delete your account at any time through the in-app account deletion flow (Profile → Settings → Delete Account) or by contacting us at support@grocere.net.
We may suspend or terminate your access to the App at any time, with or without notice, if we believe you have violated these Terms or if we discontinue the App. Sections that by their nature should survive termination (including Sections 5, 10, 11, 12, 15, and 16) will survive.
14. Changes to the Terms
We may update these Terms from time to time. For material changes, we will provide at least 30 days' advance notice by in-app notification or email (if you have provided one) before the changes take effect. Your continued use of the App after the effective date of the updated Terms constitutes acceptance. If you do not agree, you must stop using the App.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of California, USA, without regard to conflict-of-laws principles.
Informal resolution. Before filing a formal claim, you agree to first contact us at support@grocere.net and attempt in good faith to resolve the dispute informally for at least 30 days.
Binding arbitration. Any dispute not resolved informally will be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, in San Francisco, California (or by phone / video where available). Judgment on the award may be entered in any court of competent jurisdiction.
Class action waiver. You and we agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.
Small-claims carve-out. Either party may bring an individual action in small-claims court for disputes within that court's jurisdiction.
Opt-out. You may opt out of the arbitration and class-action waiver provisions by sending written notice to support@grocere.net within 30 days of first accepting these Terms. Opt-out does not affect any other part of these Terms.
16. Miscellaneous
- Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us regarding the App.
- Severability. If any provision is held invalid, the remaining provisions remain in effect.
- No waiver. Our failure to enforce any provision is not a waiver of that provision.
- Assignment. You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Apple-specific terms. If you downloaded the App from the Apple App Store: these Terms are between you and GrocerE, not Apple; Apple is not responsible for the App or its content; Apple is a third-party beneficiary of these Terms and may enforce them against you.
